Terms of Service – Loccal

The following Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and BITDEGREE ("Company", "we", "us", or "our"), concerning your access to and use of the Loccal mobile application as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Platform"). You agree that by accessing the Platform, you have read, understood, and agreed to be bound by all of these Terms of Service. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF SERVICE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE PLATFORM AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. The Platform is a Venue

You acknowledge that the Platform provides a venue for connecting customers seeking to obtain home services ("Customers") and independent service provider professionals ("Experts"). We are a neutral facilitator and not a direct service provider, employer, or general contractor. We are not involved in the actual transactions between Customers and Experts. As a result, the quality, safety, or legality of the services provided, and the truth or accuracy of listings are the sole responsibility of each user.

3. Bookings

When a Customer accepts a quote from an Expert, a direct contractual relationship ("a Booking") is created between that Customer and that Expert. BITDEGREE is not a party to this contract. We are solely responsible for facilitating the connection and processing the payment as described below.

4. Financial Terms for Customers

By making a Booking, you as a Customer agree to pay the total fees indicated. You authorize BITDEGREE and its third-party payment processor (e.g., Paddle) to place a temporary pre-authorization hold on your payment method (e.g., credit card, Apple Pay) for the full amount of the service. This is an Authorization Only, Not a Charge. Your payment method will not be charged until the service is marked as "Completed" by the Expert through the Platform. At that time, we will "capture" the funds from the pre-authorized amount.

5. Financial Terms for Experts

As an Expert, you appoint BITDEGREE as your limited payment collection agent solely for the purpose of accepting fees from Customers on your behalf. You agree that payment made by a Customer through the Platform shall be considered the same as a payment made directly to you.

a. Earnings Balance: Upon the successful completion and capture of payment for a Booking, BITDEGREE will credit your in-Platform "Earnings Balance" with the Expert Payout amount. The Expert Payout is calculated as the total amount paid by the Customer, minus our disclosed Platform Fee. This Earnings Balance represents the funds that are due to you.

b. Payout Schedule: BITDEGREE will initiate the disbursement of your accumulated Earnings Balance to your designated bank account on a weekly basis. Payouts for all completed and unpaid jobs in a given week (Monday to Sunday) will typically be initiated on the following business day (Monday), subject to standard bank processing times.

c. Payout Conditions: You must have a valid payout method (e.g., a verified Canadian bank account) connected to your account through our third-party payment processor (Paddle) to receive disbursements. BITDEGREE is not responsible for any delays in payment or loss of funds resulting from incorrect or outdated payout information provided by you. We reserve the right to hold or delay payouts pending the investigation of any fraud, chargebacks, or violation of these Terms of Service.

6. Cancellations

All Bookings are subject to our Cancellation Policy, which is incorporated by reference into these Terms of Service. Please review the Cancellation Policy for information on fees and procedures related to cancelling a Booking.

7. User Representations

By using the Platform, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you have the legal capacity and you agree to comply with these Terms of Service; (3) you will not access the Platform through automated or non-human means, whether through a bot, script or otherwise; and (4) your use of the Platform will not violate any applicable law or regulation.

8. Expert-Specific Representations

If you register as an Expert, you further represent and warrant that you possess the necessary expertise, licenses, and insurance to legally and safely perform the services you offer. You acknowledge that BITDEGREE does not conduct background checks or verify the qualifications of Experts and that you are solely responsible for your conduct and the quality of your services.

9. Prohibited Activities

You may not access or use the Platform for any purpose other than that for which we make the Platform available. As a user of the Platform, you agree not to:

Engage in any activity that circumvents or attempts to circumvent the payment system or the Platform Fee, such as by arranging to pay or be paid for a service "off-platform".

Harass, annoy, intimidate, or threaten any of our employees, agents, or other users.

Use any information obtained from the Platform in order to harass, abuse, or harm another person.

Systematically retrieve data or other content from the Platform to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.

Make any unauthorized use of the Platform, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email.

Interfere with, disrupt, or create an undue burden on the Platform or the networks or services connected to the Platform.

10. Intellectual Property Rights

Unless otherwise indicated, the Platform is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Platform (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

11. Term and Termination

These Terms of Service shall remain in full force and effect while you use the Platform. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS OF SERVICE, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE PLATFORM (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON.

12. Disclaimer

THE PLATFORM IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE PLATFORM AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE PLATFORM AND YOUR USE THEREOF. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE PLAT-FORM'S CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THE PLATFORM AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE PLAT-FORM, OR (3) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE PLATFORM BY ANY THIRD PARTY.

13. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Platform at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Platform without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Platform.
